A NON-BINDING TERM-SHEET HAS BEEN SIGNED FOR THE MERGER OF IEG AND BOLOGNAFIERE

Italian Exhibition Group S.p.A. (“IEG”) and BolognaFiere S.p.A. (“BF”), the leading companies in the Italian trade fair and congress market, declare to have signed a non-binding term-sheet (the “Term-Sheet”) with the objective of effecting a merger between IEG and BF on the basis of a merger exchange ratio equal to 1:1 and according to a modality that is yet to be defined by both parties (the “Merger”).

BOLOGNAFIERE: PRESIDENT AND BOARD AGREE TO REDUCE THEIR OWN SALARIES

The President of BolognaFiere, Gianpiero Calzolari, and the board of directors have agreed to reduce their own salaries by 50% in view of the delicate economic situation that the country is experiencing because of the Covid-19 emergency and the resulting lockdown.

In compliance with the orders and indications from the Italian authorities, beginning with the communications from the Ministry of Health and Minister Roberto Speranza, and the Emilia Romagna Regional Administration, and its President Stefano Bonaccini, the BolognaFiere Group announces the postponement, of a precautionary nature, of the events scheduled during the months of February and March 2020 at the Exhibition Centres in Bologna, Modena and Ferrara.

As part of a two-day tour of Emilia, president of the Senate, Maria Elisabetta Alberti Casellati, visited Bologna on Tuesday 19 November. In the afternoon, she spoke at BolognaFiere and received a welcome from its president Gianpiero Calzolari, the deputy mayor of Bologna Marilena Pillati and the president of the Chamber of Commerce Valerio Veronesi, before going on to meet with representatives of economic and productive sectors from the region.

From a pool of banks coordinated by Banco BPM €75 million for the BolognaFiere expansion and development plan

The President of BolognaFiere Gianpiero Calzolari and the Central-Northern Corporate Market Manager of Banco BPM Luca Mazzini signed an important transaction involving a €75 million loan to the BolognaFiere Group from a banking pool coordinated by Banco BPM. The financing transaction - lasting 12 years and totalling €75 million - is aimed at supporting the Group’s industrial development plan and in particular the expansion and renovation of the Bologna exhibition centre. The banks that make up the pool are Banco BPM, which acted as Agent Bank and Custodian Bank, Intesa Sanpaolo/Banca IMI, MPS, BPER, Unicredit and BNL.
